About The Role

Based at our Corporate Office in Dubai, the Senior Legal Counsel is responsible for providing support and assistance in all aspects of DP World – Maritime Solutions business activities, focusing on shipping transactional work (charter-parties, financing, sale & purchase, new-builds, vessel flagging, regulatory, insurance, corporate, JVs) plus disputes/litigation.

Job Description

The Senior Legal Counsel will provide high quality, targeted and accessible legal advice across a range of maritime practice areas and will work as a valued business partner with colleagues across DP World – Maritime Solutions to secure and deliver effective solutions to legal issues. The Senior Legal Counsel will need to be highly experienced and technically proficient in their areas of maritime legal specialism and also act as the senior in‑house expert for a specific practice discipline (e.g., arbitration, ship finance, sale & purchase, vessel flagging). They will be expected to work with a high degree of autonomy on complex legal matters, lead and manage their own portfolio of matters, and collaborate with the legal team and Head of Legal on larger projects. The Senior Legal Counsel will also assist and supervise the work of the Junior Legal Counsel and Paralegals.

Key Accountabilities
  • Lead and manage own portfolio of matters with minimal supervision.
  • Act as lead counsel in transactions and advise the Group on all legal issues regarding ownership and operation of DP World – Maritime Solutions vessels and vessel owning companies to mitigate risk and align matters with policy and capacity.
  • Prepare, review and negotiate charter party contracts, vessel acquisition and disposal contracts, including related tax and insurance matters.
  • Prepare and review tenders and bid proposal contracts, drafting and reviewing NDA, LOI, MOU.
  • Draft, review, and negotiate shipbuilding contracts including completion of delivery and registration formalities.
  • Review financial & loan agreements, assisting on loan documentation and ensuring compliance with loan covenants.
  • Prepare and review joint venture, collaboration and alliance agreements.
  • Draft and review general contracts, including IT, procurement, and labour related contracts.
  • Manage maritime insurance claims with nominated insurance brokers and insurers when necessary.
  • Administer legal framework and compliance requirements of the organization to ensure continuity of business and appropriate corporate structure.
  • Identify strategic legal requirements and initiatives and drive them with minimal supervision.
  • Work with Finance/Tax team to identify tax implications and implement structures, including preparation and review of intra‑group agreements incorporating transfer pricing principles.
  • Oversee the corporate structure of the DP World – Maritime Solutions Group, establish new companies and closure of companies, and prepare corporate, loan, shareholder and board documents.
  • Evaluate need for external advice, prepare briefing material, and advise internal departments; act as focal point with external lawyers and P&I Club on matters/disputes.
  • Draft and revise الشركة standard agreements and other legal documents.
  • Draft and revise internal control routines and procedures.
  • Coordinate and monitor litigation or other proceedings to which the الشركة is party or potentially party.
  • Assist and advise Head of Legal on ad‑hoc work as necessary.
  • Delegate work to and supervise Paralegals and Junior Counsels.
  • Act as a senior role model for DP World – Maritime Solutions’ values and professional standards.
  • Drive delivery of business and corporate plans for own areas of responsibility.
  • Drive continuous improvement within own areas of responsibility.
  • Proactively manage risk, ensuring issues are identified, addressed and reported; escalated when appropriate.
  • Work with insurance and risk management teams to ensure risks are adequately addressed and insured.
  • Be fully aware of and comply with DP World – Maritime Solutions and DPW policies and procedures relevant to own responsibilities and corporate policies and procedures.
Minimum QualificationsQualifications & Experience
  • Bachelor’s degree in law.
  • Master’s degree in marine law or contract law preferable.
Minimum Experience
  • 10 years’ experience in a related field or equivalent training.
  • Good knowledge of contract law, English/Common Law, and shipping law.
  • Dependable and able to deliver contributions with little direction.
Key Attributes
  • Excellent written, drafting and oral communication skills with fluency in English.
  • Detail oriented, hands‑on, driven and able to meet demanding deadlines.
  • Focus on quality and efficiency, with positive commitment to EHSQ.
  • Experience with disputes and compliance (sanctions, GDPR, anti‑bribery) considered a plus.
  • Transaction and project management skills.
